By accessing or using Patient Pulse Tracker ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including patients, healthcare practitioners, and practice administrators.

2. Description of Service

Patient Pulse Tracker is a health monitoring and survey management platform that enables healthcare practitioners to assign, track, and analyze patient wellness assessments. The Service includes features such as survey administration, score tracking, email reminders, and clinical analytics.

3. User Accounts

To use the Service, you must have an account created by an authorized practitioner. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Providing accurate and complete information

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service

5. Healthcare Disclaimer

The Service is a tool to assist healthcare practitioners and is not intended to replace professional medical advice, diagnosis, or treatment. Survey scores and analytics are for informational purposes only and should be interpreted by qualified healthcare professionals. Always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition.

6. HIPAA Compliance and Business Associate Agreement

Patient Pulse Tracker is designed to support HIPAA compliance for covered entities and their business associates.

6.1 Business Associate Agreement (BAA)

For healthcare providers subject to HIPAA, we provide a Business Associate Agreement (BAA) that governs our handling of Protected Health Information (PHI). The BAA establishes:

• Permitted uses and disclosures of PHI
• Safeguards to prevent unauthorized use or disclosure
• Breach notification obligations
• Requirements for subcontractors
• Data return or destruction upon termination

7. Data Processing Agreement (GDPR)

For users in the European Economic Area (EEA), we provide a Data Processing Agreement (DPA) that complies with GDPR requirements. The DPA addresses:

• Nature and purpose of processing
• Types of personal data processed
• Categories of data subjects
• Rights and obligations of the controller
• Sub-processor requirements
• Data subject rights assistance
• International data transfer mechanisms (Standard Contractual Clauses)

8. Data Ownership and Privacy

You retain ownership of all data you submit to the Service. By using the Service, you grant us a limited license to process your data solely to provide the Service. 12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATIENT PULSE TRACKER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Patient Pulse Tracker and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination. Provisions that by their nature should survive termination will survive.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.
